Terms of Sale

1. Purpose

These Terms govern contractual relationships between NOIA NOGAIN and clients for AI agent development, consulting, training and support services.

2. Quote and order

All services are subject to a detailed quote. Quote signature constitutes acceptance of these Terms and triggers the order.

3. Price and payment terms

Prices are in euros excluding VAT. Payment follows the schedule in the quote (30% deposit on order, balance on delivery unless otherwise agreed).

4. Delivery times

Quoted timelines are indicative. Delays caused by the client (validation, data access) extend delivery proportionally.

5. Intellectual property

Project-specific deliverables are transferred to the client upon full payment. Reusable components (libraries, templates) remain NOIA NOGAIN property.

6. Confidentiality

NOIA NOGAIN commits to strict confidentiality regarding client information during and after engagement.

7. Limitation of liability

NOIA NOGAIN is not liable for indirect damages. Total liability is capped at service cost.

8. Disputes

Toulouse courts are the sole competent jurisdiction.
